MUSE T-Shirt Competition - Terms and Conditions

1. The Competition will run on the mirror website

2. Closing date for entries is 11:59pm (GMT) on Monday 1st August 2011.

3. The competition is open to all citizens around the world, except employees of Firebrand Live Ltd and their associated, affiliated or subsidiary companies, and their families, agents, or anyone connected with this Competition.

4. Multiple entries can be made, but only one entry per person will be entered into the final shortlist

5. Entries may be rejected in the sole discretion of Firebrand Live Ltd, including without limitation for reasons of obscenity, defamation, invasion of privacy or in the event that Firebrand Live deems the entry uploaded to be in anyway inappropriate.

6. The Mirror will not be liable for any failure of receipt of entries. The Mirror takes no responsibility for any entries that are lost, delayed, illegible, corrupted, damaged, incomplete or otherwise invalid.

7. By entering and submitting a design, all eligible entrants agree to abide by each and all of these General Rules, the Terms and Conditions and the Security and Privacy Policy

8. Firebrand live Ltd reserves the right, with or without cause, to exclude entrants and withhold prizes for violating any of these General Rules and the Terms and Conditions and Terms of Use. Firebrand Live reserves the right to amend these General Rules. Any amendments will be published on the Website.

9. By submitting a design and any other materials (‘the Materials’) with an entry the entrants agree to grant Firebrand Live Ltd a non-exclusive, fully paid and royalty free, sub-licensable and worldwide licence to use, edit, modify, display, publish, perform, reproduce, communicate, manufacture, promote, advertise, broadcast, sell and distribute the Materials, or products made therefrom, on or through the Website. For the avoidance of doubt, all entrants agree to the free use of their names and photographs for publicity and news purposes during this and future promotions in any and all media by The Mirror or Firebrand Live Ltd or any associated or subsidiary shall be entitled to display the Materials on the Website. Firebrand Live Ltd shall not acquire any right, title or interest to the intellectual property rights in the Materials, except as provided in this clause. If a person does not wish to grant Firebrand Live Ltd such rights in the Materials then they should refrain from entering the competition. Also, by submitting the Materials with an entry, the entrant warrants that they are free to grant such rights in the Materials to Firebrand Live Ltd and agree to indemnify Firebrand Live Ltd in respect of any claims, damages and costs arising as a result of the entrant’s breach of this warranty and agrees to sign any paperwork required by Firebrand Live Ltd to give effect to the rights granted hereunder. In addition to the foregoing by submitting to Firebrand Live Ltd an entry the winning entrant agrees and acknowledges that they shall only be entitled to use and/ or exploit the Materials for the entrant’s own promotional use (including, but not limited to their portfolio, website and exhibitions relating solely to entrant.) without Firebrand Live Ltd’s prior written approval.

10. In the event that the winning entrant is under 16 then such win is subject to receipt by us of signed consent from the parent or guardian of the winning entrant for them to licence the rights in the Materials to us and for us to exploit the Materials in accordance with the terms hereof and the counter signature by the parent and/ or guardian of any paperwork required by Firebrand Live Ltd hereunder.

11. All entries received and have not be excluded and/ or are ineligible pursuant to the terms and conditions herein, by 11:59pm (GMT) on Monday 1st August 2011 will be judged by The Mirror, Firebrand Live Ltd & MUSE. One overall winner will win a T-shirt proof autographed by the band, 10 free MUSE t-shirts and a 2 x VIP tickets to Reading festival. The overall winner’s design will be initially made up and sold as a limited run in the muse.mu webstore and thereafter Firebrand Live Ltd shall be entitled to use and exploit the Materials in accordance with the rights granted herein. The overall winner agrees and acknowledges that the prize offered hereunder shall be sufficient and equitable consideration for the rights granted hereunder and they will receive no royalty payment or advance of any kind except for the prizes indicated above in respect of any exploitation of the Materials by Firebrand Live Ltd pursuant to these terms and conditions.

12. No cash or prize alternative will be offered.

13. The judges’ decision is final and binding on the entrants. No correspondence will be entered into.

14. The judges reserve the right to not select an overall winner if none of the entries are deemed to be of high enough quality.

15. There is no cash or other alternative to the prizes stated and the prizes are not transferable and no part or parts of the prize may be substituted for other benefits, items or additions.

16. By entering the competition all entrants are deemed to have accepted and be bound by these General Rules.

17. Firebrand Live Ltd reserves the right at any time to cancel, modify or supersede the competition (including altering prizes) if, in our sole discretion, a competition is not capable of being conducted as specified.

18. Nothing in these terms and conditions shall limit Firebrand Live Ltd liability for death or personal injury caused by their employees or agents’ negligence or for fraud.

19. If any of these clauses should be determined to be illegal, invalid or otherwise unenforceable then it shall be severed and deleted from these terms and conditions and the remaining clauses shall survive and remain in full force and effect.

20. These terms and conditions shall be governed by English law and the courts of England and Wales shall have exclusive jurisdiction.
